This document was compiled in Australia to supplement the public information available on the internet.
The Mastery of Life is the AMORC public relations document for potential membership recruitment. There is a conflict of interest between the legal USA AMORC corporate structures and the public advertising. The legal issue is that a corporation cannot have a historical identity earlier that it’s corporate registration date. This nullifies the advertised belief that the Rosicrucian Order AMORC can trace its origins back to Egypt.

The AMORC Constitution, titled Constitution and Statutes of the Grand Lodge of the Ancient, Mystical Order Rosae Crucis, was in use for over 40 years with minor amendments. Copies of the Constitution are no longer available; the sections quoted reveal the historical relationship between SGLAMORC and GLELJAMORC.
There is a possibility that the GLAMORC Constitution may have been altered since the 1990 GLELJAMORC and SGLAMORC corporate restructure.
Page 7 of the constitution contains a Proclamation signed by H. Spencer Lewis in 1934.
Page 6 contains a schematic diagram of the organisation. Within the diagram, it is clearly shows that SGLAMORC in 1934 consisted of a board of five directors. Below the diagram is an explanation of the SGLAMORC – GLAMORC corporate structure.
The schematic diagram clearly shows an autocratic two-tiered corporation.
Sections 1 to 4 defines the corporate structure between SGLAMORC and GLAMORC.
Article 1. (Page 9)
Section 1. This lodge is a separate and distinct body created and charted by the hierarchy of the Supreme Grand Lodge of The Ancient Mystical Order Rosae Crucis International Jurisdiction (hereinafter referred to as Grand Lodge of AMORC, or as Grand Lodge).
Section 2. This Grand Lodge is subordinate to and derives its powers from the Imperator and the Board of Directors composing the Supreme Grand Lodge of AMORC. It is chartered as the Grand Lodge of the General membership of the AMORC and is a separate and distinct body from the Supreme Grand Lodge and, with its properly authorised subordinate bodies and members at large constitutes the membership section of the order (AMORC) in this jurisdiction.
Section 4. All the members of the Order of AMORC in this jurisdiction shall be known as Rosicrucian Members, and their membership is restricted to affiliation exclusively with this Grand Lodge and any subordinate bodies in this jurisdiction empowered by it.

Section 27. 1. Registration fees of a nominal sum paid as donations to the “Rosicrucian Foundation” and AMORC Funds, held exclusively in the name of the Supreme Grand Lodge of the Hierarchy of this jurisdiction.
2. Monthly sums paid by members of any classification and which shall be considered in all cases as donations to the Funds of the Hierarchy under its exclusive control and use in the furtherance of the work of the Supreme Grand Lodge and the Hierarchy in accordance with the Constitution of the Supreme Grand Lodge.
Article IX continues and defines that all revenue generated in any form by GLAMORC is to be deposited as in paragraph 1, for the exclusive use of SGLAMORC.
Article IX establishes that SGLAMORC owns:
The real estate complex at 1312 Naglee Avenue, San Jose, California, referred to as Rosicrucian Park. This complex occupies almost an entire city block in the middle of the City of San Jose.
As a private non-profit corporation, SGLAMORC is not legally required to disclose financial assets to the “AMORC Membership Corporation” or individual AMORC members. During the 1990 USA court case, “AMORC Rosicrucian Order, vs. Rosicrucian Imperator Gary L. Stewart”, estimated an ownership of over 300 bank accounts worldwide, with one transaction valued at 4 million US dollars.
Note: Monthly fees paid by USA AMORC members of any classification are defined as donations due to the USA tax exemption classification laws.
Californian Non-Profit Corporations
What is a non-profit Corporation?
Typically, a company which is formed and operated for the benefit of religious, social, scientific research, artistic, educational, or environmental purposes can be formed as a Non-Profit corporation.
There are three general categories of Non-Profit corporations which can be filed in California:
1. Religious Non-Profit corporations
2. Public Benefit Non-Profit corporations, or
3. Mutual Benefit Non-Profit corporations
The idea of a Non-Profit company is to provide a way for an organization to offer needed support to a specific group, in a beneficial, benevolent manner, or a humanitarian effort, with the "reward" being the organization would not have to pay income tax, since there should not be any "profit" to the corporation's management or workers, and will not result in a gain for any private person connected with the organization's operations. Revenues and Donations received would be used to pay operating expenses and to give to the recipient, or the public charity.
This does not mean that the people who operate a Non-Profit company must volunteer their time. Salaries can be earned.
Workers can be paid for their time and services, as long as salaries are within reason.
What is a USA 501(c)3 or 501(c)4 ?:
These terms are used to describe a type of nonprofit/non-taxed company under the rules of the Internal Revenue Service (IRS).
Remember, corporations are formed and filed on a state level, not the federal level. So, when you decide to create a
Nonprofit Corporation, all initial documents are completed and filed with the government of California. After this has taken place and the Nonprofit Corporation is legally in existence, then the additional steps for exemption of income tax can proceed, including the application for 501(c)3 or 501(c)4 status.
The specific applications are provided to you for your completion after the incorporation process has been completed. Simply registering your organization as a Non-Profit corporation does not automatically give you exemption from payment of US
Federal or State of California Income tax. Separate application must be made to, and approval obtained from, the state and federal government, or the company must pay income tax. Moreover, rules regarding the management and operations of Non-Profit companies must be followed, or the exempt status can be revoked.

Constitution and Replaceable Rules
A company's internal management may be governed by:
Provisions of the Corporations Act 2001 (the Act) that apply to the company - known as Replaceable Rules; a Constitution; or a combination of both (s.135 and 136).
The following companies must be governed by a constitution:
public companies 'Limited by Guarantee' who are applying to omit the word Limited from their name under section 150;
'No Liability' public companies under section 112;
'special purpose companies' that want to obtain the reduced annual return fee under regulation 2A(b), (d) or (f) of the Corporations (Fees) Regulations 2001.
The Constitution for most companies is drawn up prior to the registration of the company. The Constitution has the effect of a contract between:
The company and each member;
The company and each director;
The company and the company secretary;
A member and each other member.
A company must provide an up-to-date copy of the Constitution (s.139) to any member who requests it within 7 days (or within 7 days of the fee being paid if a fee up to the prescribed amount set out in the Corporations Regulations 2001 (the
Regulations) [1.1.01], is charged).
It is not necessary to lodge the Constitution of a proprietary company (not being an unlimited company) with the application for registration but they must be kept with the company's records and made available if required.
Constitution
A company adopts a Constitution either:
On registration, if each person specified in the registration application as a person who consents to become a member, agrees in writing to the terms of a constitution before the application is lodged; or;
After registration, if the company passes a special resolution adopting a constitution.
A company may modify or repeal its constitution, or a provision of its constitution, by passing a special resolution A special resolution requires at least 21 days notice (28 days for public listed companies) and the agreement of a 75% majority of eligible voters (refer sections 9, 136, 137, 140, 249H and 249L).
A proprietary company does not need to lodge a copy of its constitution. If a special resolution is passed affecting the company's name, share capital or type, then the appropriate document for that change should be lodged within the required lodgement period
The Australian Taxation Office (ATO) has specific clauses which the constitution of a non-profit company must contain to be eligible for tax concessions.
Australian Company Numbers
Benefits of the ACN: Under the Corporations Act 2001, every company in Australia has been issued with a unique, nine-digit number, an Australian Company Number (ACN), which must be shown on a range of documents. The purpose of the ACN is to ensure adequate identification of companies when transacting business. New companies are issued with numbers by the Australian Securities & Investments Commission (ASIC) upon registration.
The ACN is generated using an algorithm with the last digit being a check digit allowing the number to be verified.
Where the ACN must appear: A company's ACN should appear on all of its 'public documents' and 'eligible negotiable instruments' [s.153]. The items on which it should appear include:
All documents required to be lodged with ASIC;
Statements of account, including invoices;
Receipts (which are not machine-produced);
Orders for goods and services;
Business letterheads;
Official company notices;
Cheques, promissory notes and bills of exchange; and
Written advertisements making a specific offer which is capable of being accepted (such as by the completion of an order form).
If a company's name appears on two or more pages of a document or instrument, the ACN must be shown on the first of those pages following the company's name.
Where a number of separate companies are listed on a document (eg, a letterhead) the ACN of each should appear and in such a way that makes clear the company to which each ACN relates.
While there are no specific requirements as to how an ACN should appear on a document, it should be clear, easily readable, and obvious as to the company to which it relates.
The ACN should be identified by the words 'Australian Company Number', or by the abbreviations 'ACN' or 'A.C.N.'.
Australian Business Number: If your company has an Australian Business Number (ABN), you may use the ABN with your company's name in place of the ACN on company documents and negotiable instruments, provided that:
Your ABN includes your nine digit ACN; and The quotation of the ABN is effected in the same manner in which quotation of the ACN would normally occur. (For example, a company is required to place its ACN with its name on the first page where that name appears in a document).

Common seal: A company may have a common seal (S.123), and then use it to execute documents in accordance with its constitution. It is not compulsory for a company to have a common seal. If a company does have a common seal, it must set out the following information:
(a) For a company that has its Australian Company Number (ACN) as its name - the company's ACN; or
(b) Otherwise - the company's name, the expression "Australian Company Number" and the company's - ACN.
ACN or A.C.N. are acceptable abbreviations for Australian Company Number. A company may make contracts and execute documents without using a seal (see S.126 and S.127)
You cannot use your ABN instead of your ACN on your company's common seal (if any).
Where the ACN is not required: The items on which the ACN is not required include:
Packaging and labelling, including envelopes and transport documents;
Advertisements which do not make a specific offer which is capable of being accepted (such as advertisements which only promote the company and its goods or services in general);
Credit cards and credit card vouchers;
Machine-generated receipts, including cash-register receipts;
Business cards and 'with compliments' slips; and
Items which are not documents (eg, vehicles, television advertisements).
Penalties: The penalty for non-compliance with the ACN provision of the Corporations Act 2001 (section 153) is $1,100 or three months imprisonment, or both.

Legal exclusions exist that protect historical works and names from patents, trademarks and copyrights. California statute does not provide for the filing of trade names or fictitious business names at the state level. A trade name or fictitious business name should be filed with the clerk of the county in which the company is doing business.

What is a specimen?
A specimen demonstrates how the mark is being presented to the public. Specimens can be in a wide variety of forms.
For a trademark, the specimen can be a label of the product sold or a photograph of the mark on the product itself, if the product is too big or bulky to send through the mail. For example, if the mark is printed on the front of t-shirts, three photographs of the mark on the t-shirt could be sent rather than sending three t-shirts.
For a service mark, the specimen can be a sample of how the services are being advertised. A "yellow page" advertisement, a flyer, a business card, or a photograph of a billboard advertising the services could be submitted. The specimen for a service mark must demonstrate the nature of the services rendered. The specimen must be something that could be handed to any average member of the public and that person would immediately know what services are being provided by the company using the mark.

The two-tiered USA SGLAMORC – GLAMORC Corporation structure exists only for one purpose.
On the doctrine level, all “Rosicrucian Documents” in the possession of SGLAMORC are the private property of SGLAMORC. As a private non-profit corporation, SGLAMORC is not legally obliged to divulge “secrets” to another corporation. This isolates the “Rosicrucian Documents” from the GLAMORC membership corporation.
On the corporate level, SGLAMORC is not financially accountable to any worldwide “AMORC Membership Corporations”. According to the GLAMORC constitution, all AMORC funds are vested in SGLAMORC, and are for the exclusive use by SGLAMORC.
Due to the lack of Australian legal documents and charters, the true corporate relationship between SGLAMORC and AANZAMORC cannot be fully established. |
